
Non-Disclosure Agreement (NDA)
This Agreement is made on [Date] between:
(1) Form and Flame Ltd (Company No. 14284453) of 153 Kenilworth Road, Basingstoke, Hampshire, RG23 8JR (“Disclosing Party” or “Receiving Party” as the case may be); and
(2) [Name of other party] of [Address] (“Disclosing Party” or “Receiving Party” as the case may be).
(Each a “Party” and together the “Parties”.)
1. Purpose
The Parties may disclose confidential information to each other in connection with executive coaching services (“Purpose”).
2. Definition of Confidential Information
“Confidential Information” means all information, whether oral, written, electronic or otherwise, disclosed by one Party to the other in relation to the Purpose, which is designated or reasonably understood to be confidential.
3. Obligations
Each Party agrees to:

Keep the other Party’s Confidential Information strictly confidential.

Use it solely for the Purpose.

Not disclose it to any third party without prior written consent, except to employees or advisers who need to know and are bound by similar confidentiality obligations.
4. Exceptions
The obligations above do not apply to information which:

Is or becomes public (other than by breach of this Agreement);

Was lawfully known to the Receiving Party before disclosure;

Is independently developed by the Receiving Party;

Must be disclosed by law, court order or regulatory authority (with prompt notice to the Disclosing Party where legally possible).
5. Return or Destruction
Upon request, each Party shall return or securely destroy all Confidential Information belonging to the other.
6. Term
This Agreement commences on the date above and continues for three (3) years after the last disclosure, unless terminated earlier by written agreement.
7. No Licence
Nothing in this Agreement grants any licence or rights in the other Party’s Confidential Information except as necessary for the Purpose.
8. Governing Law
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
