Terms & Conditions
(Governing Law: England and Wales)
1. Introduction
1.1 These Terms and Conditions (“Terms”) govern the provision of executive coaching services (“Services”) by Form and Flame Ltd (“we”, “us”, “our”) to the client (“you”, “your”).
1.2 By booking or attending our Services, you agree to be bound by these Terms.
2. Services
2.1 We provide executive coaching sessions designed to support leadership development, strategic thinking, and performance improvement.
2.2 The scope, duration, and frequency of sessions will be agreed in writing prior to commencement.
2.3 We reserve the right to update the content and format of Services to ensure quality and effectiveness.
3. Fees and Payment
3.1 Fees for Services will be agreed in writing before commencement and are exclusive of VAT unless stated otherwise.
3.2 Invoices are payable within 30 days of the invoice date.
3.3 We reserve the right to suspend Services or charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 if invoices remain unpaid after the due date.
4. Client Obligations
4.1 You agree to:

Attend scheduled sessions punctually.

Engage fully in the coaching process.

Provide accurate and honest information as reasonably required for effective coaching.
4.2 You are responsible for implementing any actions or decisions arising from coaching sessions.
5. Confidentiality
5.1 We will keep all information shared during coaching sessions confidential except:

Where disclosure is required by law or a court of competent jurisdiction.

Where there is a risk of harm to you or others.
5.2 We may use anonymised data for quality assurance or training purposes.
6. Cancellation and Rescheduling
6.1 You may cancel or reschedule a session by providing at least 72 hours’ written notice.
6.2 Sessions cancelled without the required notice may be charged at the full rate.
6.3 We reserve the right to reschedule sessions for unavoidable reasons but will give as much notice as reasonably possible.
7. Intellectual Property
7.1 All materials, tools, or resources provided by us during the Services remain our property and are protected by copyright and other intellectual property rights.
7.2 You may use such materials for your personal professional development but may not reproduce, distribute, or exploit them without our written permission.
8. Limitation of Liability
8.1 We do not provide medical, legal, or financial advice. Coaching is not a substitute for therapy, counselling, or other professional services.
8.2 Our liability for loss or damage arising under these Terms shall be limited to the amount paid by you for the Services giving rise to the claim.
8.3 Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be limited or excluded by law.
9. Termination
9.1 Either party may terminate the agreement by providing 30 days’ written notice.
9.2 We may terminate immediately if you breach these Terms or fail to pay fees when due.
10. Data Protection
10.1 We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.
10.2 Our Privacy Policy (available on request) explains how we collect, store, and use your personal information.
11. Governing Law and Jurisdiction
11.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
11.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
12. Entire Agreement
12.1 These Terms constitute the entire agreement between you and us relating to the Services and supersede any prior discussions or correspondence.
